Who you are agreeing with

Donna is the service you use on iPhone and the web. It is run by Youth Coast Space Management Limited, Macao SAR.

01 · Accepting these terms

By creating an account or using Donna, you agree to these terms. If you do not agree, do not use it.

We may update these terms. When we do, the date at the top moves. If a change is material we will tell you in the app before it takes effect, and continuing to use Donna after that means you accept the update.

02 · What the service is

Donna is a voice-first AI assistant. You talk or you type; Donna keeps one long-running conversation, hands real work to AI workers that run in the background, and brings the results back as cards you can read, edit, act on or decide about. Donna can draft messages to real people, read and write your calendar, keep tasks, and remember across sessions.

The service runs as an iPhone app and as a web app, and it uses third parties to work — Apple and Google for sign-in, Google for calendar where you connect it, and the AI model providers named in the privacy policy.

This is a new product. The iPhone app is distributed through Apple's App Store and is free to download. Things change between releases, features arrive and are withdrawn, and the service may be interrupted. We will give notice where that is reasonably possible.

03 · Your account

• Give accurate information when you create an account, and keep it current.
• You are responsible for the security of your account and for everything done under it.
• You must be at least 13.
• One account per person. Do not share or transfer it.
• If you think someone else is using your account, tell us at [email protected] straight away.

04 · Acceptable use

Do not:

• Use Donna for anything unlawful, or in a way that breaks any law that applies to you.
• Try to reach other people's accounts or data, or the systems behind the service.
• Reverse-engineer or try to extract the source of the service, except where the law says you may.
• Use the service to build a competing product, or to train a model on its output at scale.
• Disrupt the service, including by automated use that is not part of our own agent or API surface.
• Upload or transmit content that is unlawful, infringing, or that you do not have the right to share.
• Put objectionable content — hateful, threatening, sexually explicit, or depicting or encouraging violence — anywhere another person can see it, including shared cards, comments, share links and invitations.
• Harass, bully, threaten, impersonate or abuse anyone, anywhere the service lets you reach them.

We have no tolerance for objectionable content or abusive users. Anything another person can put in front of you — a shared card, a comment, a share link, an invitation — you can report from inside the app, and you can block the person who sent it. Blocking hides their comments from you and stops them sharing anything new to you. We review reports and act as appropriate. Content that breaks this section is removed, and we may suspend or terminate accounts — permanently, for anyone who harasses or abuses another person.

05 · Messages Donna drafts, and who is responsible for them

Donna can write a message to a real person on your behalf. Donna writes the draft, reads it back to you as written, and does nothing else until you confirm. Confirming is your act: it is what authorises the send, and nothing else does.

Two consequences follow, and they are yours:

1. When a message goes out, you are the sender. It goes from your own connected account, under your name, and you are responsible for its contents — including where Donna drafted something you did not check closely.
2. Once sent, it is out of our hands. It is delivered and stored by that channel's operator under their terms, not ours.

Donna also reads and writes your calendar when you ask. Every change is said back to you before it is committed; confirming it is likewise your act.

06 · Plans, allowances and payment

Some work draws on an allowance — holding a voice call, or work Donna delegates, such as running an agent task or making a plan. The iPhone app is free to download. Paid plans and refills, where offered, are purchased through Apple's In-App Purchase system in the iPhone app; the price and what is included are shown there before you buy. A free sample, where offered, is given once per account.

• Allowances, including refills and any free sample, have no cash value, are not redeemable for cash, and cannot be transferred between accounts.
• Payment for an App Store purchase is charged to your Apple Account at confirmation of purchase.
• Where a purchase is an auto-renewing subscription, it renews automatically unless auto-renew is turned off at least 24 hours before the current period ends, and renewal is charged within the 24 hours before that.
• Manage or cancel a subscription, and turn off auto-renew, in your Apple Account settings. We cannot cancel an Apple subscription for you.
• Refunds for App Store purchases are handled by Apple under its own policies, not by us.
• Any unused part of a free trial, where one is offered, is forfeited when you buy a subscription during it.
• There is no web checkout. The iPhone app is the only place to buy.

We may change pricing, the allowances that plans and refills include, or what draws on an allowance going forward. We will not change what you have already been charged for a period you have already paid for.

Deleting your account does not cancel an Apple subscription. Cancel it separately in your Apple Account settings.

07 · Who owns what

The service — its software, design and branding — is ours, and these terms give you no rights in our trademarks, logos or brand assets.

You own the content you create: your cards, notes, plans, messages and conversations. You give us a licence to store, process and transmit that content as needed to run the service, including sending it to the third parties described in the privacy policy. You own the output Donna generates for you, subject to the underlying AI providers' terms.

08 · Donna can be wrong

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Donna's answers, plans and drafts are generated by AI models and can be inaccurate, incomplete or out of date. Check anything that matters before you act on it. Do not rely on Donna for medical, legal, financial or safety-critical decisions. We do not warrant that the service will be uninterrupted, secure or error-free — and as a new product, it will sometimes not be.

09 · Limits on liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising out of or relating to your use of the service. Our total liability for any claim arising from these terms or the service will not exceed what you paid us in the 12 months before the claim arose.

Nothing here limits liability that cannot be limited under the law that applies to you.

10 · Indemnity

You agree to cover us against claims, losses and damages arising from your breach of these terms or your misuse of the service — including messages sent from your account after you confirmed them.

11 · Ending it

You can stop using the service whenever you like. You can delete your account and its contents yourself from the iPhone app (Account → Delete account); on the web, email [email protected] from the address you signed in with until the button ships there.

We may suspend or end your access if you break these terms, and we may discontinue the service or parts of it. Where reasonably possible, we will give notice first.

12 · Apple's terms (iPhone app)

If you installed the app from the App Store, Apple's Licensed Application End User License Agreement applies alongside these terms. Where these terms are silent on something Apple's standard EULA addresses, Apple's terms govern for the iPhone app. Apple is not responsible for the service or its content and has no obligation to provide maintenance or support for it — that is ours alone, as described here.

13 · Governing law

These terms are governed by the laws of the Macao Special Administrative Region of the People's Republic of China (the Macao SAR), without regard to conflict-of-law principles, and the courts of the Macao SAR have jurisdiction over any dispute arising from these terms or your use of the service, except where consumer-protection law in your own country requires otherwise. Nothing in these terms limits rights you have under the mandatory consumer law of the place where you live.
